These Terms of Use govern your access to and use of the Paleta Wholesale B2B ordering portal at order.paleta.com.au (the "Portal"). By creating an account or placing an order, you agree to these terms.

1. Eligibility

The Portal is intended for use by businesses purchasing for resale or commercial use. By registering, you confirm that you are at least 18 years old, authorised to act on behalf of the business you represent, and that the information you provide is accurate.

2. Accounts

You are responsible for keeping your sign-in credentials (mobile number, passkey, email link, or Google account) secure, and for all activity that occurs under your account. Notify us promptly if you suspect unauthorised access.

3. Orders

  • All prices shown are in Australian dollars (AUD) and are for wholesale customers.
  • An order is an offer to purchase; we accept the order when we confirm dispatch.
  • We may refuse or cancel an order at our discretion, including for stock availability, suspected fraud, or breach of these terms.
  • Minimum order quantities, where applicable, are shown on each product.

4. Payment

Payment may be made online via our payment provider or by bank deposit, as offered at checkout. Goods remain our property until payment is received in full. Overdue accounts may be suspended.

5. Delivery and risk

We deliver to addresses within Australia. Estimated delivery times are indicative only. Risk in the goods passes to you on delivery. Please inspect on receipt and notify us of any damage within 48 hours.

6. Returns and consumer guarantees

Nothing in these terms excludes any rights you have as a small business under the Australian Consumer Law. Subject to those rights, returns are accepted only for goods that are damaged, defective, or incorrectly supplied.

7. Acceptable use

You must not use the Portal to attempt unauthorised access, disrupt service, scrape data, resell account access, or breach any applicable law.

8. Liability

To the maximum extent permitted by law, our total liability for any claim arising out of or in connection with the Portal or any order is limited to the price paid for the goods to which the claim relates. We are not liable for indirect or consequential loss.

9. Changes

We may update these terms from time to time. Continued use of the Portal after a change constitutes acceptance of the revised terms.

10. Governing law

These terms are governed by the laws of the State of Victoria, Australia. The parties submit to the non-exclusive jurisdiction of the courts of that State.
